General terms of sale

1. Purpose and scope
These terms govern sales of fresh fruit, vegetables and dried fruit concluded by vetafresh, whose registered office is at Aït Melloul industrial zone, Agadir, Morocco, with professional buyers.
Any order implies unreserved acceptance of these terms, which prevail over the buyer's purchasing terms unless otherwise agreed in writing.
2. Orders and confirmation
A quote is valid for seven calendar days unless stated otherwise. A sale is only concluded on receipt of the written order confirmation stating product, variety, size grade, volume, incoterm, price and departure date.
Any change requested after confirmation is the subject of a written amendment.
3. Prices and incoterms
Prices are stated excluding taxes, in the currency shown on the quote, and apply according to the agreed incoterm (Incoterms® 2020: EXW, FOB, CFR, CIF, DAP or DDP).
Unless expressly stated, import duties and taxes and inspection costs at destination are borne by the buyer.
4. Quality, size grades and compliance
Goods comply with the applicable marketing standards and with the size grades stated on the order confirmation, within the customary trade tolerance.
Every shipment is accompanied by a phytosanitary certificate, an MRL analysis report and a temperature record, linked to the lot number of each pallet.
5. Delivery and transfer of risk
Departure dates are given for guidance and depend on season and transport conditions. Risk transfers according to the agreed incoterm.
A delayed departure gives no right to compensation when it results from weather, a customs inspection or force majeure.
6. Claims
Any claim regarding quality or quantity must be notified in writing within 24 hours of the goods being made available, with dated photographs and the temperature record.
After this period, the goods are deemed accepted. No claim may concern a lot that has already been sold on.
7. Payment
Unless otherwise agreed, payment is made according to the terms stated on the invoice. Any late payment automatically incurs penalties at the statutory rate in force.
Ownership of the goods is retained until the price has been paid in full.
8. Governing law and jurisdiction
These terms are governed by Moroccan law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the commercial courts of Agadir.
